10. No right is given to admit
additional limited partners.
11. There being only one limited
partner, there are no provisions
governing priority among
limited partners.
12. There being only one general
partner, there are no provisions
governing the right of any
remaining general partner on the
death, etc. of any other general
partner.
13. The limited partner has no
right to demand and receive property
other, than cash in returnfor
its contribution, except for a right
of first refusal on the sale by the
partnership of any second mortgages
or deeds of trust, or the
notes secured thereby.
14. No general partner can be
elected or removed, the partnership
terminated, the partnership
agreement amended, or all or
substantially all of the assets of

prohibits the general partner
from entering into any agreements,

or commitments unless
the other contracting party
has executed a specific " Acknowledgement,
Waiver, and
Agreement re Limited Liability
of Builders Resources Corporation"

Limited Partnership Agreement

authorizes the general partner to
execute all " conveyances" ( as
that term is defined in the Uniform
Partnership Act) of the
partnership property on behalf

general partner alone may execute

trust on individual lots, and all
instruments related thereto,
