Upon reading and filing the petition
of RONALD RAVITZ and
MAXINE RAVITZ, duly verified
on the 21st day of December,
1966, whereby it appears that the
peititioners are die owners of
fifty ( 50%) percent of die outstanding
shares of die corporation;
that the said company is a
business corporation organized
and existing under and by virtue
of the laws of die State of New
York, and that said corporation
is doing business in Nassau County,
New York; that furdier, irreconcilable
disputes have arisen
and differences exist between die
Directors, Officers and Stockholders
of die corporation widi
respect to die handling of die
affairs of die corporation, and between
petitioners, as holders of
fifty ( 50%) percent of die shares
of die corporation and LOUIS
AGRESTA and JANE AGRESTA
as holders of the remaining fifty
( 50%) percent of die shares; and
furdier, diat die corporation is
apparently insolvent and that its
assets are not sufficient to discharge
its liabilities; and that
dissolution will be beneficial to
the shareholders, corporation
and creditors; and furdier diat
the assets are in danger of being
dissipated; and furdier that die
corporation is indebted to divers
persons in large amounts,
the greater part of which is
past due, and said corporation is
being pressed for payment and
has no available funds with which
to pay its debts and carry on its
business, and is unable to procure
funds therefor; and diat
actions are about to be commenced
against die said corporation
by its creditors for die collection
of debts against the said
corporation; and that it will be
beneficial to die interests of die
creditors diat die said corporation
be dissolved and its property
placed in the custody of die Court;
and said petition stating reasons
why an injunction should be
granted restraining die furdier
dissipation of the assets, and it
also appearing diat it would be
for the best interests of die
shareholders and creditors diat a
temporary receiver, asked for
therein, be appointed to conduct
die business of die corporation
in his discretion, subject to die
order of die Court; and it appearing
diat the assets and die
office of die corporation is in a
position of danger, in that threats
have been made to remove die
furniture, stock and equipment to
the street; it is ORDERED that
R. A. SHEET MUSIC SERVICE,
INC., and all persons interested
in said corporation, show cause
before Special Term, Part 2.
at 100 Nortii Road, Mineola, New
York, pursuant to BCLJ11106,
on January 30th, 1967, at 9: 30
A. M., and at such times diere-after
as said Court shall order,
why die said corporation should
not be ^ dissolved pursuant to die
rules and practices of diis Court;
and it is further ORDERED diat
a copy of diis order be published
in die Massapequa Observer, a
newspaper published in die
County of Nassau, State of New
York, once a week in each of
die diree weeks immediately p r e ceding
die said 30th day of January
, 1967, and that a copy
thereof be served upon die State
Tax Commission, R. A. SHEET
MUSIC SERVICE, INC., and upon
each person named in die petition,
and any schedule annexed diereto,
as a shareholder, creditor and/
or claimant as and within die
time provided for die jf 1106
( Sub. c) of the Business Corporation
Law, and it is further
ORDERED diat R. A. SHEET
MUSIC SERVICE, INC., its officers
and directors shall on die
return date ( January 30, 1967)
furnish the Court with a schedule
of die accounts of die said corporation,
togetrerwidi a statement of
t h e corporate assets and liabilities,
and die name and address
of each shareholder, and of each
creditor and claimant, including
any witii whom the corporation
has unfunfilled contracts; and it
is further
ORDERED that HAROLD BOB-ROOF
of 795 Hampton Road,
Woodmere, New York, be and he
hereby is appointed temporary
Receiver of die said corporation,
pursuant to f 113 of die
Business Corporation Law, and
that such temporary Receiver
immediately take possession of
the property and effects, real and
personal, of every nature, kind
and description, of said corporation,
and hold and administer
the same according to law, and
of its books and records and diat
before die said Receiver takes
possession of such property, or
enters upon die discharge of his
duties, he execute and file witii
the Clerk of Nassau County a
bond to the People of die State
of New York, in die penal sum
of ($ 10,000-) Ten Thousand Dollars,
conditioned for the faithful
discharge of his duties as such
Receiver, and it is further
ORDERED that the FRANKLIN
NATIONAL BANK be and the
same is hereby designated as die
place of deposit, wherein die
funds of die said Corporation,
not needed for immediate distribution,
shall be deposited; and
it is further
ORDERED that such temporary
Receiver in the performance of
the duties of his Trust, act in all
things subject to die order of diis
Court, and it is furdier
ORDERED that said temporary.
Receiver, at his discretion, shall
have permission and he is hereby
authorized and empowered to
continue and carry on die
business of die said company
in die servicing and supplying
of sheet music accounts, until
the further order of die Court,
provided, however, diat no
indebtedness shall be incurred
by said temporary Receiver for
diat purpose except for die necessary
help and supplies and for
the reasonable use and occupation
of premises required tiier-for,
widiout die further order
and express authority of diis
court.
